• Designate a primary contact person with authority to make binding decisions regarding project scope and approvals.

Delays in providing required assets or feedback will result in corresponding extensions to the overall project timeline.

The client retains full responsibility for all materials, copy, graphics, photography, logos, trade secrets, trademarks, and data provided to MRHBAN for inclusion in deliverables.

The client warrants that they hold the necessary rights, licenses, and permissions to use and supply all provided content, and that such content does not infringe upon any third-party copyrights, intellectual property, privacy rights, or applicable laws.

Ownership and licensing of final project deliverables are governed by the following principles:

• Final Deliverables: Upon receipt of full and final payment, the client is granted the agreed ownership or perpetual license rights to the custom final deliverables created specifically for their project, as specified in their project agreement.
• MRHBAN Pre-Existing IP: MRHBAN retains all intellectual property rights in its pre-existing tools, proprietary code libraries, starter frameworks, templates, workflows, and general know-how used in delivering the services.
• Portfolio Rights: Unless explicitly agreed otherwise in writing under a non-disclosure agreement (NDA), MRHBAN reserves the right to display completed project screenshots, design summaries, and public links in its portfolio, case studies, and marketing materials.

Digital projects often require integration with third-party software, platforms, or services (such as domain registrars, hosting providers, payment gateways, CRM SaaS platforms, email delivery APIs, and social media networks).

The client is responsible for paying any recurring third-party subscription fees, domain renewals, or API costs directly to the respective providers. MRHBAN is not liable for service interruptions, API deprecations, policy changes, downtime, or fee updates imposed by third-party platforms.

Project fees, advance deposits, milestone payments, recurring retainer rates, and applicable taxes are defined in the specific project quotation or agreement.

• Work typically commences upon receipt of the agreed upfront deposit.
• Final files, administrator credentials, and live production deployments are handed over upon settlement of all outstanding invoices.
• Late payments beyond the agreed grace period may lead to temporary suspension of ongoing development, retainer services, or support.

All estimated delivery dates and project schedules provided by MRHBAN are good-faith estimates based on initial project assessments. Actual completion times may vary due to client revision cycles, delayed content submission, unforeseen technical dependencies, or modifications in scope.

Any new features, design iterations, custom functionality, or major architectural changes requested outside the originally agreed Statement of Work will be quoted as a scope addition with an adjusted timeline and fee.

We strive to keep mrhban.com accessible 24/7. However, uninterrupted or error-free availability cannot be guaranteed. Temporary downtime may occur due to routine server maintenance, software updates, internet routing disruptions, or emergency security measures.

MRHBAN provides services with professional skill and care. However, because commercial success depends on client business models, product quality, customer service, pricing, and market dynamics:

• We do NOT guarantee specific business revenue, sales figures, conversion rates, search engine rankings, or lead quantities.
• Except as expressly stated in a written agreement, our website and digital services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, in no event shall MRHBAN, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, business interruption, or loss of goodwill arising out of or in connection with the use of our website or services.

MRHBAN’s total cumulative liability for any claim arising under a project agreement shall not exceed the total amount actually paid by the client to MRHBAN for the specific service giving rise to the claim.

The client agrees to indemnify, defend, and hold harmless MRHBAN and its team from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) resulting from:

• Unlawful content, unauthorized trademarks, or infringing materials provided by the client
• Client's breach of these Terms or applicable laws
• Client's use or misuse of the delivered digital products or services

Either party may terminate a project engagement in accordance with the termination provisions set forth in the specific project contract or Statement of Work. Upon termination, the client shall pay for all work completed and expenses incurred up to the effective date of termination.
